Internet Shopper Ltd (ISL) grants you a non-transferable license to use the
enclosed software program, activation key and accompanying documentation
(collectively, the 'Product') as long as you comply with the following terms
and conditions:

1. Grant of License
You may use the Activation Key on one, single computer, or any replacement
for that computer; a separate license is required for any other computer.
You may make one copy of the Activation Key, only for the backup or archive
purposes.

2. Ownership of the Product
ISL and/or its licensers owns all title and proprietary rights to the Software
and the Documentation and all copies thereof, all of which contain valuable
trade scripts of ISL or its licensers.  This License is NOT a sale of the
Software or any copy of it, nor a waiver of the rights of ISL under the
European copyright laws.  You understand and agree as follows:
(i) You may NOT make or permit others to make any copies of this license and
assoicated Registration Number except for complete archival or backup copies
of the Software as permitted by law.
(ii) You may NOT reverse engineer, disassemble, decompile, modify,
incorporate in whole or in part in any other product based on this Software
or permit others to do so.
(iii) You may NOT remove any copyright, trademark, proprietary rights,
disclaimer or warning notice included on or embedded in any part of the
Product or any copy you make of the Software.
(iv) You may NOT sell, license, sublicense, rent, lease or otherwise
transfer the Product without the written permission of ISL.  ISL will not
withhold permission to transfer the License as long as you permanently transfer
the entire Product (including all components and archival copies, if any) and
the person who wishes to obtain the License agrees to the terms and conditions
of this Agreement.
(v) You may not use the Documentation for any purpose other than to support
your use of the Product.
(vi) You acknowledge that the Program is proprietary to and confidential
information of ISL. You agree to observe the complete confidentiality with
respect to the Program. You agree to reproduce and include the copyright
notice and other proprietary notices of ISL on any authorised copy of the
Program and all such copies shall be subject to the same terms and
conditions of this Agreement. These provisions shall survive termination of
this Agreement for any reason, whatsoever.
(vii) By default, NTMail will automatically send any severe error
notifications to ISL.
(viii) You accept that from time to time, NTMail will send details of the
key installed to ISL and you agree not to interfere with its delivery.

3. Warranty
This Program is provided 'as is'. ISL warrants that the Program will
substantially comply with the specifications set out in the documentation.
Except as stated herein this Program is provided, without warranty of any
kind, express or implied, statutory or otherwise, including but not limited
to the implied warranties of merchantability and fitness for a particular
purpose. The entire risk as to the quality and performance of the Program is
with you. Should the Program prove defective, you assume the entire cost of
all necessary servicing, repair or correction. ISL does not warrant that the
functions contained in the Program will meet your requirements or that the
operation of the Program will be uninterrupted or error-free.

ISL┤S SOLE LIABILITY TO YOU FOR ANY CLAIM, DEMAND OR CAUSE
OR ACTION WHATSOEVER, AND REGARDLESS OF FORM OF ACTION,
WHETHER IN CONTRACT OR TORT, INCLUDING NEGLIGENCE, SHALL BE
LIMITED, AT ISL┤S SOLE OPTION, TO REPLACEMENT OF THE PROGRAM
OR REFUND OF THE PURCHASE PRICE. IN NO EVENT SHALL ISL BE
LIABLE FOR OR YOU HAVE A REMEDY FOR RECOVERY OF ANY SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ISL HAS BEEN
INDIRECT, ADVISED OF THE POSSIBILITY OF SUCH DAMAGES,
INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SAVINGS,
LOST REVENUES OR ECONOMIC LOSS OF ANY KIND, OR FOR ANY CLAIM
BY ANY THIRD PARTY.

4. Termination of License
This Agreement is effective from the date you install NTMail until
terminated. You may terminate this Agreement, at any time, by
destroying the Program, along with all copies of the Program, in any form.
The license to use the Program will also terminate if you violate any term
or condition of this Agreement. On termination of this Agreement you agree
to destroy all copies of the Program, in any form, in your possession or
control and of requested by ISL certify in writing that such action has been
taken.

5. Support & Upgrades
Internet Shopper will provide email support and upgrades within minor
version numbers for the first 30 days after your first contact with Internet
Shopper or its representatives.

6. General
If any provision of this Agreement is determined to be invalid or
unenforceable, it shall be deemed to be omitted and the remaining provisions
shall continue in full force and effect. ISL┤s waiver of nay right shall not
constitute a waiver of that right in the future. This Agreement shall be
governed and construed in accordance with the laws of England. This
Agreement constitutes the entire understanding between the parties with
respect to the subject matter hereof and all prior agreements,
representations, statements and undertakings, oral or written, are hereby
expressly superseded and cancelled. Any notice or communication to be sent
